Terms of Use

Last Updated: November 3, 2026

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS SITE. THEY INCLUDE A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

Business Agility Group, Inc., d/b/a CorpCounselor ("CorpCounselor," "we," "us," "our") owns and operates the website at corpcounselor.com and the related ContractsRx and FARb365 applications and services (collectively, the "Site" and "Services"). In these Terms of Use, "you" and "your" refer to each visitor, customer, or user of the Site or Services. By accessing or using the Site or Services, you agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms of Use, do not use the Site or Services. We may revise these Terms of Use at any time; continued use of the Site after a revision constitutes acceptance of the updated terms. We will post the "Last Updated" date above whenever we make changes, and for material changes will provide additional notice where required by law.

BY USING THE SITE OR SERVICES, YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OF AGE AND HAVE THE LEGAL CAPACITY TO ENTER INTO A BINDING CONTRACT.

1. Nature of the Services; No Attorney-Client Relationship

CorpCounselor provides legal operations and artificial-intelligence-assisted consulting services, including the ContractsRx contract-modeling and document-automation tool and the FARb365 AI-assisted billing-review tool. Except where a separate signed engagement letter expressly establishes legal representation between you and CorpCounselor (or its affiliated law practice), use of the Site, ContractsRx, FARb365, or any other self-service tool does not create an attorney-client relationship, does not constitute legal advice, and is not a substitute for consultation with a licensed attorney in your jurisdiction. These self-service tools review your inputs only for completeness, internal consistency, and formatting; they do not evaluate legal sufficiency, draw legal conclusions, or apply law to your specific facts. Where CorpCounselor or an affiliated practice performs legal services for you under a separate written engagement, that engagement — not these Terms of Use — governs the scope of representation.

2. Accounts

To access certain parts of the Site or Services you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use. We are not liable for losses caused by someone else's use of your account, but you may be liable for losses we or others incur as a result of your account being used without authorization due to your failure to safeguard your credentials.

3. Content You Provide

When you submit information through a questionnaire, form, or similar input to use ContractsRx, FARb365, or another Service, that information is handled under our Privacy Policy. You grant CorpCounselor a worldwide, royalty-free, non-exclusive license to use, host, reproduce, and process that information solely to provide the Service you requested; this license ends when you delete the information or close your account, except as needed to retain records required by law or our professional-conduct obligations.

4. Intellectual Property

The Site, Services, and all content made available through them — including text, document templates, software, logos, and graphics (the "Materials") — are owned by CorpCounselor or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Except as we expressly permit, you may not copy, modify, distribute, publicly display, or create derivative works from the Materials. CorpCounselor, ContractsRx, FARb365, and our logos are trademarks of Business Agility Group, Inc. All rights not expressly granted are reserved.

5. Acceptable Use

You agree not to: (a) use the Site or Services for any unlawful purpose or in violation of these Terms of Use; (b) upload or transmit content that is defamatory, obscene, infringing, or otherwise unlawful; (c) attempt to gain unauthorized access to any part of the Site, other accounts, or our systems; (d) interfere with or disrupt the integrity or performance of the Site or Services, including through scraping, automated data extraction, or introduction of malicious code; or (e) use the Services to practice law without a license where such practice would violate applicable law.

6. Third-Party Links and Services

The Site may link to or integrate with third-party websites or services we do not control. We are not responsible for the content, policies, or practices of any third-party site, and inclusion of a link does not imply endorsement. Your use of a third-party site is governed by that site's own terms and privacy policy.

7. Fees and Payment

Certain Services require payment of fees as described at the time of purchase or in your subscription agreement. Fees are non-refundable except as required by law or as separately agreed in writing. We may suspend or terminate access for non-payment after reasonable notice.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, SERVICES, AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT RESULTS OBTAINED THROUGH THEIR USE WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CORPCOUNSELOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO CORPCOUNSELOR FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless CorpCounselor and its officers, directors, employees, and agents from any claim, demand, loss, or damage, including reasonable attorneys' fees, arising out of your violation of these Terms of Use, your misuse of the Site or Services, or your violation of any law or third-party right.

11. Dispute Resolution; Arbitration Agreement; Class Action Waiver

Please read this section carefully — it affects your legal rights. Most concerns can be resolved by contacting CorpCounselor Customer Care at [email protected]. If a dispute cannot be resolved informally within 60 days, you and CorpCounselor agree to resolve it through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (available at adr.org or by calling 800-778-7879), rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY; CLASS ARBITRATIONS, CLASS ACTIONS, AND REPRESENTATIVE ACTIONS ARE NOT PERMITTED. You may consult independent counsel before agreeing to these Terms of Use or completing any purchase. Nothing in this section limits CorpCounselor's right to seek injunctive relief in court to protect its intellectual property or confidential information.

12. Governing Law; Venue

These Terms of Use are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles, except as the arbitration provision above is governed by the Federal Arbitration Act. The U.N. Convention on Contracts for the International Sale of Goods does not apply. To the extent any dispute is not subject to arbitration, the state and federal courts located in Arapahoe County, Colorado have exclusive jurisdiction, and you consent to personal jurisdiction there.

13. Children

The Site and Services are not directed to individuals under 18, and individuals under 18 may not use the Site or submit personal information to us.

14. Accessibility

We aim to make the Site accessible to all users. If you have difficulty accessing any part of the Site, contact [email protected] and we will work with you to provide the information or service you need in an alternative manner.

15. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without cause or notice, including for violation of these Terms of Use. Sections that by their nature should survive termination (including Sections 4, 8–12, and 16) will survive.

16. General

These Terms of Use, together with the Privacy Policy and any separate written agreement governing a specific engagement or Service, constitute the entire agreement between you and CorpCounselor regarding the Site and Services. If any provision is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms of Use without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
