Privacy Policy

Last Updated: November 3, 2026

Business Agility Group, Inc., d/b/a CorpCounselor ("CorpCounselor," "we," "us," or "our") respects your privacy and is committed to protecting the personal information we collect through corpcounselor.com, our ContractsRx and FARb365 applications, and related services (collectively, the "Site" or "Services"). This Privacy Policy explains what personal information we collect, how we use and share it, the choices and rights available to you — including the rights granted under the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act ("CCPA") — and how to contact us.

This Privacy Policy is incorporated into our Terms of Use. By visiting the Site or using the Services, you acknowledge the practices described here. If you have questions, contact us at [email protected] or 303-418-4857.

1. Scope

This Privacy Policy covers personal information CorpCounselor collects directly through the Site and Services, and information we receive about you from other sources described below. It does not cover the practices of companies we do not own or control, or of individuals we do not employ or manage, including third-party sites you reach through links on our Site.

2. Categories of Personal Information We Collect

In the preceding 12 months, depending on how you interact with us, we have collected (and may continue to collect) the following categories of personal information, as those categories are defined under the CCPA:

  • · Identifiers — name, postal address, email address, phone number, account username, IP address, and similar identifiers.
  • · Customer records information — information you give us on forms (e.g., billing name, payment card or bank account details collected via our payment processor, signature).
  • · Protected classification characteristics — where voluntarily provided or necessary to a matter (e.g., marital status for estate-planning documents).
  • · Commercial information — records of products or services purchased, obtained, or considered; order and transaction history.
  • · Internet or other electronic network activity — browsing history, search history, and information about your interaction with the Site, Applications, or an advertisement, including through cookies and similar technologies described in Section 5.
  • · Geolocation data — general location inferred from IP address.
  • · Professional or employment-related information — where provided in connection with a matter (e.g., title, employer, business entity role).
  • · Inferences — drawn from the above to create a profile reflecting preferences or characteristics.
  • · Sensitive personal information — Social Security or taxpayer ID numbers, driver's license or state ID numbers, financial account/credit card numbers in combination with access codes, precise geolocation (if ever enabled), and information revealing the contents of documents you submit for drafting or review (which may include legal, financial, health, or similarly sensitive subject matter necessary to generate your documents). We collect and use sensitive personal information only as reasonably necessary to provide the Services you request; we do not use it to infer characteristics about you.

We may also collect information about third-party individuals you name in connection with a matter (for example, beneficiaries in a will, shareholders of a company, or authorized contacts on your account). We use that information solely to administer the Services you requested and for no other purpose.

3. Sources of Personal Information

We collect personal information directly from you (forms, account registration, phone or email contact with our team, surveys, and content you submit); automatically through your use of the Site (Traffic Data and cookies, described in Section 5); and from other sources, including employers who purchase our Services on behalf of employees, publicly available government records, and commercially available data providers, which we may combine with information we already hold.

4. How We Use Personal Information

We use personal information to: provide, operate, and improve the Site and Services (including ContractsRx and FARb365); process orders and payments; create, run, and support your account; respond to inquiries and provide customer support; send service-related communications and, where you have opted in, marketing communications; detect, prevent, and investigate fraud or security incidents; comply with legal obligations; and for research and analytics to improve our product offerings. We do not use sensitive personal information to infer characteristics about you beyond what is necessary to perform the Services.

5. Cookies, Analytics, and Online Tracking

The Site and our emails use cookies, pixels, and similar technologies, including Google Analytics and comparable advertising/analytics tools, to recognize your browser, compile aggregate Traffic Data, remember preferences, and measure the performance of our content and ads. You can block or delete cookies through your browser settings; doing so may limit some Site functionality (such as order forms). We and our analytics/advertising partners do not use this data to build a profile tied to your identity for sale to unrelated third parties; see Section 8 for our sale/sharing disclosures and your opt-out rights, including Global Privacy Control signals.

6. How We Disclose Personal Information

We disclose personal information only as described below, and only for the business or commercial purposes stated:

  • · Service providers and contractors — companies that process payments, host our infrastructure, send email, or provide customer-support, printing, or similar services under a written contract restricting their use of the data to the services they perform for us.
  • · Professional advisors — accountants, auditors, and attorneys, as needed to operate our business.
  • · Business transfers — in connection with a merger, acquisition, financing, or sale of some or all of our assets, including in bankruptcy.
  • · Legal and safety — to comply with law, respond to lawful requests from public authorities, or protect the rights, property, or safety of CorpCounselor, our users, or the public.
  • · With your direction — when you ask us to share information with a designated registered agent, authorized contact, co-counsel, or third-party offer you selected.

We do not sell personal information for money. In the preceding 12 months, we have not sold personal information. Our use of certain advertising/analytics cookies (Section 5) may constitute "sharing" of identifiers and internet activity data with ad-technology partners for cross-context behavioral advertising as that term is defined under the CCPA. You can opt out of that sharing at any time — see Section 8.

7. Children's Privacy

The Site and Services are not directed to, and we do not knowingly collect personal information from, children under 16. We do not knowingly sell or share the personal information of consumers we know to be under 16 years of age without affirmative opt-in consent. If you believe a child has provided us personal information, contact [email protected] and we will delete it.

8. Your California Privacy Rights (CCPA)

If you are a California resident, you have the following rights with respect to your personal information, subject to certain exceptions:

  • · Right to Know — the categories and specific pieces of personal information we have collected about you, the categories of sources, our business/commercial purpose, and the categories of third parties with whom we have disclosed it, covering the 12 months preceding your request (or longer, at our discretion).
  • · Right to Delete — request deletion of personal information we have collected from you, subject to statutory exceptions (e.g., completing a transaction, legal compliance, security, internal lawful use compatible with the context in which you provided it).
  • · Right to Correct — request correction of inaccurate personal information we maintain about you.
  • · Right to Opt Out of Sale/Sharing — direct us not to sell or share your personal information. We honor opt-out preference signals, including the Global Privacy Control, as well as requests submitted through the methods below.
  • · Right to Limit Use of Sensitive Personal Information — direct us to limit our use of sensitive personal information to what is necessary to perform the Services you requested.
  • · Right to Non-Discrimination — we will not deny you goods or services, charge different prices, or provide a different quality of service because you exercised a CCPA right.
  • · Right to Data Portability — receive a copy of personal information you provided to us, in a portable and, to the extent technically feasible, readily usable format.
  • · Right to Appeal — if we decline a request in whole or in part, you may appeal by replying to our denial notice or emailing [email protected] with "Privacy Appeal" in the subject line; we will respond within 60 days.

How to Submit a Request

You may submit a verifiable consumer request by: (a) emailing [email protected]; (b) calling 303-418-4857; or (c) writing to the mailing address in Section 13. You may also designate an authorized agent to make a request on your behalf by providing written permission signed by you; we may still require you to verify your own identity directly with us and confirm the agent's authority.

To protect your information, we will verify your identity by matching information you provide against information we already maintain (typically two to three data points, such as name, email, and account/order number) before fulfilling a Right to Know, Delete, or Correct request. We will respond within 45 days of a verifiable request, extendable once by an additional 45 days with notice to you. There is no fee to submit a request.

Do Not Sell or Share My Personal Information: to opt out of any sale or sharing of your personal information, email [email protected] with "Do Not Sell or Share" in the subject line, or set your browser or device to send a Global Privacy Control signal, which we will honor as a valid opt-out request for that browser/device.

Retention

We retain each category of personal information only as long as reasonably necessary for the business or legal purpose for which it was collected: account and transaction records for the duration of the business relationship plus up to seven years thereafter to meet tax, audit, and professional-liability record-keeping obligations; website analytics data for up to 26 months; and marketing opt-in records until you unsubscribe plus a reasonable suppression period. Documents submitted for drafting or review are retained consistent with our engagement terms and applicable professional-conduct record-retention rules.

Shine the Light

Separate from the CCPA, California Civil Code Section 1798.83 permits California residents to request information about any personal information we may have disclosed to third parties for their own direct marketing purposes in the preceding calendar year. We do not disclose personal information to third parties for their own direct marketing purposes without your prior opt-in consent. To make a request, email [email protected].

9. Other U.S. State Privacy Rights

If you are a resident of Colorado, Connecticut, Virginia, or another state with a comprehensive privacy law, you may have similar rights to know, access, correct, delete, or port your personal information, and to opt out of targeted advertising, sale, or certain profiling. Submit requests using the methods in Section 8; we will apply the same verification and response process to the extent consistent with the law of your state.

10. European Visitors

If you are located in the EU/UK, you have the right to request a copy of, correct, or request erasure of your personal data, and to object to our processing, subject to the limitations described above. To exercise these rights, email [email protected]. You also have the right to lodge a complaint with your local supervisory authority or, for UK residents, the Information Commissioner's Office (ico.org.uk).

11. Security

We maintain administrative, technical, and physical safeguards designed to protect personal information, including encrypted transmission (TLS/SSL) for account and payment data. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. If you believe your personal information has been compromised through the Site or Services, contact us immediately at [email protected].

12. Changes to This Policy

We may update this Privacy Policy to reflect changes in our practices or the law. Material changes will be posted on this page with an updated "Last Updated" date, and where required by law, we will provide additional notice before the change takes effect.
